Terms of Service

Effective: June 13, 2026

These Terms govern use of the EasyPURL website and, unless a separate written agreement says otherwise, the EasyPURL SaaS platform, campaign tools, personalized URL services, landing pages, analytics, integrations, and related services.

1. Agreement to these Terms

These Terms of Service are a legal agreement between you and EasyPURL by Experiture, EasyPURL, Inc., Experiture, Inc., and their affiliated businesses, which we refer to as "EasyPURL", "Experiture", "we", "us", and "our". By visiting our websites, creating an account, signing an order, using the platform, or submitting information to us, you agree to these Terms.

If you are using the services for a company, agency, customer, or other organization, you represent that you have authority to bind that organization. If you do not agree, do not use the services.

2. Order forms and customer agreements

Some customers use EasyPURL under a signed order form, statement of work, master services agreement, data processing agreement, or similar written agreement. If those written terms conflict with these Terms, the written agreement controls for that customer and those services. These Terms still apply to website use and to areas not covered by the written agreement.

3. Accounts and authorized users

You are responsible for the accuracy of account information, the actions of your authorized users, and the security of credentials, API keys, integrations, and devices used to access the services. You must promptly notify us of unauthorized access or suspected compromise.

We may suspend or limit access if we reasonably believe an account presents a security risk, violates these Terms, creates operational harm, risks unlawful activity, or could damage our services, customers, vendors, recipients, or reputation.

4. License and acceptable use

Subject to these Terms and any applicable order, we grant you a limited, non-exclusive, non-transferable right to access and use the services for your internal business purposes and authorized marketing operations.

You may not:

  • Use the services for unlawful, deceptive, abusive, harassing, discriminatory, harmful, or fraudulent activity.
  • Send spam, unsolicited communications, or messages that violate CAN-SPAM, TCPA, CASL, GDPR/ePrivacy, CCPA/CPRA, state privacy laws, postal rules, carrier rules, or other applicable law.
  • Upload or process sensitive regulated data unless your written agreement expressly permits it and the required controls are in place.
  • Interfere with service integrity, bypass access controls, probe systems, scrape data, introduce malware, or overload infrastructure.
  • Reverse engineer, copy, resell, sublicense, or use the services to build a competing product except as allowed by law.
  • Remove proprietary notices, misrepresent sender identity, conceal opt-out requirements, or bypass suppression and preference controls.

5. Customer data and campaign responsibilities

You retain ownership of the data, content, lists, creative, templates, campaign rules, messages, landing pages, and submissions that you provide to the services, which we call "Customer Data". You grant us the rights needed to host, process, transmit, display, analyze, secure, back up, and otherwise handle Customer Data to provide and improve the services, comply with law, enforce agreements, and protect the platform.

You are responsible for the legality, accuracy, quality, and rights associated with Customer Data and campaigns, including consent, lawful basis, disclosures, unsubscribe handling, suppression lists, message content, targeting, personalization, claims, approvals, and recipient rights requests. You must not upload or use data that you do not have the right to use.

6. Marketing compliance

EasyPURL provides tools for personalized URLs, landing pages, email, SMS, direct mail, QR codes, analytics, campaign management, and related marketing operations. These tools do not replace your legal obligations. You are responsible for determining whether your campaigns require opt-in consent, prior express written consent, unsubscribe links, postal disclosures, privacy notices, cookie consent, data processing terms, age restrictions, industry notices, or other controls.

We may reject, throttle, suspend, or remove campaigns, content, lists, landing pages, domains, messages, or integrations that we reasonably believe are unlawful, abusive, high-risk, harmful to deliverability, harmful to platform integrity, or inconsistent with our policies.

7. Third-party services and integrations

The services may integrate with third-party products, including CRM, analytics, advertising, messaging, collaboration, data warehouse, print, payment, identity, and hosting services. Your use of third-party services is governed by their terms and privacy notices. We are not responsible for third-party services that we do not control, and we may change or discontinue integrations when needed.

8. Fees, payment, and taxes

Fees, payment terms, usage limits, overages, taxes, renewals, and cancellation rights are governed by the applicable order or written agreement. Unless otherwise stated, fees are non-refundable, payable in US dollars, and exclusive of taxes. You are responsible for taxes, duties, and government charges other than taxes based on our net income.

9. Intellectual property

We and our licensors own the services, software, technology, documentation, templates, designs, workflows, analytics models, platform configuration, know-how, trademarks, and other intellectual property that are not Customer Data. No rights are granted except as expressly stated in these Terms or a written agreement.

If you provide feedback, suggestions, or ideas, you grant us a perpetual, worldwide, royalty-free right to use them without restriction or compensation.

10. Confidentiality

Each party may receive non-public business, technical, financial, product, security, customer, or operational information from the other party. The receiving party must use reasonable care to protect confidential information and may use it only to perform obligations or exercise rights under the applicable agreement. Confidentiality obligations do not apply to information that is public, independently developed, lawfully received from another source, or disclosed with permission.

11. Security and data protection

We use reasonable administrative, technical, and organizational measures designed to protect the services and Customer Data. You are responsible for configuring user access, tenant settings, integrations, domains, content approvals, and security controls appropriate for your organization. Data processing terms may apply where required by law or contract.

12. Beta, preview, and AI-assisted features

We may offer beta, preview, experimental, AI-assisted, or pre-release features. These features may be modified, suspended, or discontinued at any time and may be provided without service commitments. You are responsible for reviewing generated or automated outputs before using them in campaigns, legal notices, customer communications, or business decisions.

13. Suspension and termination

We may suspend or terminate access if you breach these Terms, fail to pay, create security or operational risk, violate law, misuse data, harm deliverability or infrastructure, or use the services in a way that could expose us, our customers, recipients, or providers to liability. Upon termination, your right to use the services ends, but provisions that by nature should survive will survive, including payment obligations, confidentiality, ownership, disclaimers, limitations of liability, indemnity, and dispute provisions.

14. Disclaimers

Except as expressly stated in a written agreement, the services and websites are provided "as is" and "as available". We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free operation, deliverability outcomes, marketing performance, revenue results, ranking results, and compliance outcomes. You are responsible for your campaign strategy, content, recipients, legal review, and business decisions.

15. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of goodwill, data, business, revenue, or anticipated savings, even if advised of the possibility. Except for amounts owed, confidentiality breaches, misuse of intellectual property, indemnity obligations, or liabilities that cannot legally be limited, our aggregate liability will not exceed the amounts paid or payable to us for the affected services during the twelve months before the event giving rise to the claim.

16. Indemnity

You will defend, indemnify, and hold harmless EasyPURL, Experiture, and our affiliates, officers, directors, employees, contractors, service providers, and agents from claims, damages, liabilities, costs, and expenses arising from Customer Data, your campaigns, your content, your use of the services, your breach of these Terms, your violation of law, or your infringement or misappropriation of third-party rights.

17. Publicity

Unless a written agreement says otherwise, we may identify your organization as a customer and use your name and logo in customer lists, presentations, and marketing materials. You may ask us to stop future use by contacting us.

18. Governing law and disputes

Unless a written agreement states otherwise, these Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in Delaware for disputes that cannot be resolved informally.

19. Changes

We may update these Terms from time to time. The effective date above shows when this version took effect. If changes are material, we will provide notice as required by law or contract. Continued use of the services after the effective date means you accept the updated Terms.
